Confidentiality Policy

At First Stage (“we”, “us”, “our”), we recognise that confidentiality and trust underpin our relationship with clients. We are committed to safeguarding the information you provide and ensuring that your business, financial and personal data remain protected.

1. Scope

This policy applies to all information disclosed to us by clients, prospects, or third parties in connection with our advisory, compliance, valuation, automation and legal-services. It covers information in any medium (written, electronic, verbal) which is supplied to us or otherwise comes into our possession.

2. Definition of Confidential Information

“Confidential Information” means all non-public information disclosed by you to us, including- but not limited to- business plans, valuations, financial statements, processes, client lists, internal systems, personal data, tax records, legal matters and any other proprietary information. It does not include information which (i) was in our possession prior to disclosure by you without obligation of confidentiality; (ii) is or becomes publicly known through no breach by us; (iii) is lawfully received from a third-party without obligation of confidentiality; or (iv) is independently developed by us without reference to your information, as per the standard carve-outs of confidentiality law. 3. Use and Access

We will use the Confidential Information solely for the purpose of delivering our services to you (e.g., process automation, business optimisation, valuations, compliance advice). Access to the information will be restricted to our personnel, agents or contractors who have a legitimate “need-to-know” and who are bound by confidentiality obligations at least as protective as this policy.

4. Non – Disclosure

We will not disclose any Confidential Information to any third-party except (i) with your prior express written consent; (ii) when required by applicable law, regulation, court order or governmental authority; or (iii) as part of a corporate restructuring, merger, or acquisition, provided your confidentiality rights are preserved. 5. Security and Safeguards

We implement industry-standard technical and organizational measures to secure Confidential Information, including:

  • Restricted access protocols and data encryption,
  • Confidentiality undertakings with personnel and partners,
  • Secure destruction of records after use or expiry.

6. Retention and Destruction

We will retain Confidential Information only as long as necessary to fulfil the services we provide or to comply with legal or regulatory obligations. Thereafter, we will destroy or anonymise the information in a secure manner.

7. Limitations

We cannot guarantee absolute confidentiality when using internet, email or other digital media, where inherent risks exist. As noted by Vakilsearch, the user should use caution in transmitting highly sensitive or admission-type details through the service.

8. Duration of Obligation

Our non-disclosure obligations shall survive the termination of the engagement and remain in force until the information enters the public domain through lawful means or is otherwise released with the disclosing party’s consent.

9. Breach and Remedies

Any unauthorised disclosure or misuse of Confidential Information may result in legal action, including injunctive relief, damages and termination of engagement. We reserve the right to pursue remedies to the fullest extent permissible under applicable law

10. Employee and Partner Compliance

All employees, contractors and authorized representatives of First Stage are required to adhere to this Policy and sign confidentiality and non-disclosure agreements as a condition of their engagement.

11. Policy Updates

We may update this policy from time to time. Any material changes will be communicated to you and the updated policy will be posted on our website with the revision date.

12. Governing Law & Dispute Resolution

This policy is governed by Indian law and any disputes arising out of or in connection with this policy or the services shall be subject to the exclusive jurisdiction of the courts in our registered locale, unless otherwise agreed.
